Agent and Service Provider Users

Rayse Inc. (collectively, “Rayse,” “we” or “us”) provides a platform for real estate agents, associated service providers, and their clients to engage in a collaborative real estate experience from the search to closing, with unprecedented transparency on everything from the agent’s particular areas of expertise to financial structure to timelines (“Platform” or “Rayse Platform”). In this Platform Privacy Policy (“Privacy Policy” or “Policy”), we describe how we collect, use, disclose and otherwise process the personal information described below, as well as the rights and choices you have regarding such personal information.
Our users include business customers, such as real business brokerages, agents, associated service providers, and administrative support staff (“Agents and Service Providers”). In addition, homebuyers and sellers also use our Platform (“Clients”). This Platform Privacy Policy applies to current and former Agent and Service Providers who use or have used our Platform (“Agent and Service Provider Users”).

1. Scope
This Privacy Policy applies to the personal information that Rayse collects, uses, discloses, and otherwise processes regarding:
• Agent and Service Provider Users, including information related to their use of the Platform, our website (including https://client.rayse.com), and/or mobile application where the Platform is available, the services we provide through these, and where we display or include a link to this Policy (collectively, the “Services”)
• Agent and Service Provider Users that use our products and Services or communicate with us for customer support, troubleshooting, or other interactions with us
• Agent and Service Provider Users who register for and/or apply to participate in our webinars, other events, and programs via our Platform
• Agent and Service Provider Users who are subscribed to receive news, information and marketing communications from us regarding our Platform
• Agent and Service Provider Users who participate in contests, sweepstakes, surveys and research conducted by us
• Agent and Service Provider Users that communicate with us or otherwise engage with us related to our Services
Not In Scope
This Policy does not apply to job applicants and candidates who apply for employment through our job application portal, or to employees and non-employee workers, whose personal information is subject to different privacy notices. Also, please see our Rayse Privacy Policy at https://rayse.com/privacy for additional information regarding the personal information we collect related to our other website(s) and other services discussed therein.
Your use of our Services and any dispute over privacy is subject to this Policy and our Terms of Use, including its applicable limitations on damages and the resolution of disputes. Our Terms of Use are incorporated by reference into this Policy.
2. Personal Information Collection
We collect information directly from you, from third parties, and by automated means as set out below.
Personal Information Collected Directly
The personal information that we collect and process will vary depending upon the circumstances and how you interact or engage with us, but generally includes:
• Registration and account information. For our Agent and Service Provider Users, when you register for an account, we may collect personal information such as: name, team/agency name, company name, license or certification information, and title/position; email address, phone number(s), mailing address, commonly visited non-business locations (as designated by you) and contact details; account profile information; business affiliations; and other information related to your Agent or Service Provider User account, such as your preferences.
• Communications and interactions. When you communicate or interact with us, whether through the Services, via email or otherwise, we collect and maintain a record of your contact details, contact preferences, communications, and our responses.
• Payment and billing information. We collect payment and billing information related to Agent and Service Provider User accounts, which may include billing contact name, address, and payment information in order to provide our Services to Agents and Service Providers.
• Programs and surveys. If you participate in sweepstakes, contests, promotions, and other programs that we offer through or related to the Platform, we will collect your name, email address, registration information, and other related information.
• AI assistant interactions. When you use the Rayse Assistant (RAE), we collect the content of your messages, RAE’s generated responses, metadata such as timestamps and session identifiers, and structured data derived from your inputs (e.g., activity types, durations, property references, and transaction details such as offer prices and closing dates).
Personal Information from Third Party Sources
We collect information about you from other sources, such as public sources, business partners, and other third parties. For example:
• Vendors and service providers. We outsource some of our operations to our service providers and vendors in order to provide and operate our Services. They may collect and provide us with IP address and unique identifiers, and other Agent and Service Provider User activity information.
• Lead information. We may receive lead and prospect information from third parties, about prospective customers, including Agents and Service Providers, that may be interested in our Services.
• Social media and other third-party platforms. If you post information about us or engage with us on social media or other third-party platforms, we may collect personal information about you from that third-party platform. If you choose to link your user account to or log in to our Services with a third-party account (e.g., Google or Microsoft), they will provide certain information to us to facilitate your sign-in process. If you link your calendar with our Services, we may receive information about your upcoming events and/or add events, such as scheduled tours and showings. These third-party platforms and services control the information they collect and share about you. Personal Information We Collect Automatically or Derive
We automatically collect personal information related to your use of our Services and interactions with us and others, including information we collect automatically (e.g., using cookies and pixel tags). We may also derive information about you (e.g., your geolocation information which is relevant for determining when traveling to and from real estate business locations) and your use of the Services. Such information includes:
• Device and browsing information. We may use cookies, third-party SDKs, pixel tags, and other tracking technologies to automatically collect personal information when you use our Services. This information may include IP address and other unique identifiers, general location information (and in some instances, device geolocation information), browser type, domain names, access times, pages views, date/time stamps, operating system, language, scrolling activity, device type, unique ID, Internet service provider, referring and exiting URLs, and similar device and usage information.
• Activities and usage. We collect activity information related to your use of our Services, such as information about the links clicked, searches, features used, pages viewed, time spent, and files uploaded. We also collect data logs, as well as data used to identify the source and destination of a communication; optimize and maintain performance of the Services; and monitor, investigate and prevent and detect fraud, system abuse, security incidents, unauthorized activities and access, and other misuses of the Services.
• AI assistant interaction data. We automatically collect metadata related to your use of RAE, including session identifiers, timestamps, conversation length, and feature usage patterns.
3. AI-Powered Features (Rayse Assistant)
The Rayse Platform includes an AI-powered assistant called RAE (Rayse Assistant) that helps real estate agents log and organize their work activities. This section describes how RAE works and how your data is handled when you use it.
How RAE Works
RAE allows agents to describe their completed work in natural language (e.g., “I showed the Highland property for an hour and discussed financing”). RAE interprets this input and proposes structured actions—such as logging activities, checking off journey milestones, or creating custom outcomes—which you review, edit if needed, and confirm before anything is saved to the Platform.
RAE is designed to assist with work logging within the Rayse Platform. It does not provide legal, financial, medical, or other professional advice, and it is not a general-purpose chatbot.
Data Collected Through RAE
When you interact with RAE, we collect and process:
• The content of your messages and prompts
• RAE’s generated responses and proposed actions
• Metadata such as timestamps, session identifiers, and journey context
• Structured data derived from your inputs (e.g., activity types, durations, property references, transaction details such as offer prices and closing dates)
How RAE Data Is Used
Information collected through RAE is used to:
• Provide the assistant functionality and process your work logging requests
• Improve the accuracy, relevance, and usefulness of RAE’s responses
• Analyze usage patterns to enhance the Platform
• Perform quality assurance, troubleshoot issues, and ensure the assistant is functioning correctly
• Comply with legal obligations
Data Processing and Security
All RAE conversations are processed within Rayse’s secure cloud infrastructure, hosted on Amazon Web Services (AWS). Specifically, RAE uses AI models accessed through AWS Bedrock, a managed service that ensures your data remains within our AWS environment. This means:
• Your conversational inputs and RAE’s outputs are not transmitted to, accessed by, or shared with any third-party AI model provider (such as the developers of the underlying AI models).
• Your data is not used by any third party to train, fine-tune, or improve their AI models.
• RAE conversation data is stored on Rayse’s servers within our AWS environment and is subject to the same security safeguards as all other Platform data.
Internal Review and Observability
Authorized Rayse personnel may review RAE conversations for the purposes of quality assurance, debugging, system improvement, and ensuring the assistant is performing accurately and appropriately. This review is conducted to improve how RAE works for all users—it is not used to train or develop third-party AI models. Access to conversation data is restricted to authorized personnel and governed by internal access controls.
Important Considerations
• RAE’s proposed actions are suggestions. You are responsible for reviewing and confirming all proposed actions before they are saved to your journey.
• RAE may not always interpret your input with complete accuracy. Always verify that proposed actions correctly reflect the work you performed.
• Do not submit highly sensitive personal information through RAE that is unrelated to your real estate work (e.g., Social Security numbers, passwords, or personal health information). RAE is designed to process real estate transaction and activity data.
4. Purposes of Collection and Use
In general, we use personal information for the purposes set forth below:
• Providing Services and support. To provide and operate our Services (including AI-powered features such as RAE), communicate with you about your use of the Services, provide troubleshooting and technical support, respond to your inquiries and requests, process your payments, and for similar service and support purposes.
• Communicating with you about the Services. For example, to send notices, updates, security alerts and other administrative messages.
• Analytics and improvement. To better understand how users access and use the Services, and our other products and offerings, and for other research and analytical purposes, such as to evaluate and improve our services and business operations, to develop new services and features, and for internal quality control and training purposes.
• Our advertising services. To promote Rayse’s products and services on third-party websites or newsletters, as well as to measure and understand the reach and effectiveness of these ads.
• Marketing and promotional purposes. For marketing purposes, including to send you newsletters, updates, alerts, and promotional information we think may interest you.
• General business operations. To consider and implement mergers, acquisitions, reorganizations, and other business transactions, and where necessary to the administration of our general business, accounting, recordkeeping, and legal functions.
• Security and protection of rights. To protect the Services and our business operations, including to prevent and detect fraud, misuse and unauthorized activities.
• Complying with legal obligations. To comply with the law or legal proceedings.
5. Disclosure of Information
We may disclose the information, including personal information, that we collect to others, as reasonably necessary for the purposes described above and as otherwise directed or authorized by you, which may include:
• Vendors and service providers. To vendors, service providers, contractors, or agents who process such information on our behalf, including cloud hosting providers (such as AWS) that support our Services and AI-powered features, IT service providers, analytics providers, and data providers.
• Affiliates and subsidiaries. To our affiliates or subsidiaries; however, if we do so, their use and disclosure of your personal information will be subject to this Policy.
• Other users. If you use the Services on behalf of your company and have access to any Services as an authorized user, we may share personal information about your access to the Services and your communications or requests to us, with relevant Agents and/or Service Providers and business customers. Agent and Service Provider Users will have access to their Clients’ user account information, including their profiles and journey progress so they can collaborate with Clients and provide updates.
• Ad measurement providers. To advertising measurement providers and other service providers that help us and ad companies understand information about the content and ads viewed, and the effectiveness of ad campaigns.
• Protecting rights and interests. To law enforcement and others where we believe doing so is necessary to protect the Services, our rights and property, or the rights, property and safety of others.
• Legal compliance. To regulators, law enforcement and other third parties in order to comply with applicable legal or regulatory obligations.
• Business transfers. We may disclose your information to another entity in connection with an acquisition or merger, sale or transfer of a business unit or assets, bankruptcy proceeding, or as part of any other similar business transfer.
We do not share your RAE conversation data or Platform data with third-party AI model providers for their own use, including model training or development.
6. Aggregate and Non-Identifiable Information
We may collect, use, disclose, and otherwise process aggregate and non-identifiable information for marketing, advertising, research, compliance, or other purposes.
7. Cookies, Targeting, and Analytics
We and our third-party service providers use cookies, pixels, javascript, and other mechanisms to automatically collect information browsing, activity, device and similar information within our Services. We use this information to, for example, analyze and understand how users access and use the Services, how they interact with others through our Services, as well to identify and resolve bugs and errors in our Services and to assess, protect, optimize and improve the performance of our Services.
Cookies
Cookies are alphanumeric identifiers that we transfer to your device’s hard drive through the Services for record-keeping purposes. Some cookies allow us to make it easier for you to navigate our Services, while others allow us to track your activities in our Services, support the security and performance of the Services, or allow us to track activity and usage data within the Service. Most web browsers automatically accept cookies, but if you prefer, you can edit your browser options to block them in the future.
Pixel Tags
Pixel tags (sometimes called web beacons or clear GIFs) are tiny graphics with a unique identifier, similar in function to cookies. We may use these, in connection with our Services to, among other things, track the activities of visitors, help us manage content, and compile statistics about usage.
Third-Party Analytics
We may use non-affiliated analytics companies, for example Google Analytics, to evaluate use of our Services. We use these tools to help us understand use of, and to improve, our Services, performance, ad campaigns, and user experiences. These entities may use cookies and other tracking technologies, such as web beacons or local storage objects (LSOs), to perform their services.
Do-Not-Track
Currently, our systems do not recognize browser “do-not-track” requests. You may, however, disable certain tracking as discussed in this section (e.g., by disabling cookies); you also may opt out of targeted advertising by following the instructions below.
Advertising and Targeting
We work with third parties, such as third-party ad networks, analytics and measurement services and other third-party ad companies to personalize content and display advertising within our Services, as well as to manage our advertising on third-party sites and online services. We and these third-party ad companies may use cookies, pixel tags, and other tools to collect activity information within our Services (as well as on third-party sites and services), as well as IP address, location information, unique ID, cookie and advertising IDs, and other identifiers, as well as browsing information.
Preferences
• Browser settings. To prevent cookies from tracking your activity on our Site or visits across multiple websites, you can set your browser to block certain cookies, notify you when a cookie is set or delete cookies.
• Mobile apps. Our apps may include third-party advertising and personalization. You can opt out of targeted advertising through your device privacy settings.

8. Your Privacy Choices
Users have several choices regarding their personal information and privacy preferences, as described in this section.
• Marketing Communications. We may send periodic promotional emails to you. You may opt out of such communications by following the opt-out instructions contained in the email or emailing us at info@rayse.com. Please note that it may take up to ten (10) business days for us to process opt out requests. If you opt out of receiving promotional emails, we may still send you emails about your account or any Services you have requested or received from us. If you opted in to receive text messages from us, you may opt out at any time by replying STOP to any of our texts.
• Cookie and Targeted Advertising. As described in the “Cookies, Targeting, and Analytics” section above, you can manage your preferences for cookies on our Site and Services by adjusting your cookie settings or other preferences.
• Mobile Device Settings. In some of our mobile Services, we may send push notifications from time to time. With your permission, we may collect your device’s location information. If you no longer wish to receive these types of communications or share your location data, you may update the app settings on your mobile device.
• Accessing and Updating Your Account Information. If you register for an account with us, you can access and update certain information we have relating to your account within your account profile settings.
• RAE Conversation Data. If you wish to request deletion of your RAE conversation history, please contact us at info@rayse.com.
9. Information About Children
Our Services are not intended for minors under the age of 13. We do not knowingly or specifically collect information about minors under the age of 13. If you believe we have unintentionally collected such information, please notify us at info@rayse.com and we will take action as necessary to securely delete such information.
10. Third-Party Sites and Services
Our Services may contain links to third-party websites. Any access to and use of such linked websites is not governed by this Policy, but instead is governed by the privacy policies of those third-party websites. We are not responsible for the information practices of such third-party websites.
11. Security
We have implemented safeguards and technical measures to protect the personal information that we have under our control from unauthorized access, use or disclosure, including data processed through our AI-powered features. However, no data security measures can guarantee 100% security. You should take steps to protect against unauthorized access to your password, phone, and computer by, among other things, signing off after using a shared device.
12. Data Retention
We retain personal information, including Platform data and RAE conversation history, for as long as necessary to fulfill the purposes described in this Policy, comply with legal obligations, resolve disputes, and enforce our agreements. When personal information is no longer needed, we will securely delete or anonymize it.
13. Changes to Our Privacy Policy
This Policy is current as of the Effective Date set forth above. We may change this Policy from time to time, so please be sure to check back periodically. We will post any changes to this Policy on our Site. If we make any changes to this Policy that materially affect our practices with regard to the personal information we have previously collected from you, we will endeavor to provide you with notice in advance of such change, such as via email or prominent notice on the Site.
